What is the basic SPV structure?
The SPV will be incorporated as a Singapore private company limited by shares (“Pte Ltd”). In the basic set-up the SPV will have two share classes: (i) ordinary shares issued to the organiser (lead investor) and (ii) non-voting preference shares issued to the other investors. Standard deal terms summarising the structuring (including any rights and privileges of investors) will be distributed to all investors. NB: Certain provisions of the standard deal terms may be customisable as requested by the organiser.

For how long do you support the maintenance of the SPV?
Within our standard terms of service, we will maintain the SPV until maturity - meaning until the investment it facilitates closes through either a successful return or a default.

Do your base fees include a Nominee Director?
No, the base fees are exclusive of providing a nominee director. Hence, as a local leading the SPV you will be able to be the Director. Should no Singaporean or PR be in place to take the Directorship, we can offer a Nominee Director at an additional annual fee.

How are you able to offer the Setup and Lifetime Maintenance at such low cost?
Most SPVs do not need complex legal agreements or many hours of consulting to be setup. We use best-in-class templates with low variability to cover those cases. Should you need a more complex service, then we will be happy to refer you to a lawyer for your specific needs.

What happens when the SPV closes?
We support our clients in calculating and disbursing the funds - if any – which are to be returned to the SPV shareholders. We then move to strike off the company from the register or otherwise liquidate the SPV.

In which jurisdictions do you offer SPV services?
At the moment we only offer the incorporation of SPVs in Singapore. More jurisdictions will follow in the future as we expand our services.
